Emkay Tools Limited was incorporated as a public limited company under the Companies Act, 2013 in the state of Maharashtra on April 25, 2023 with Registrar of Companies, Mumbai. Emkay Tools Limited was incorporated as a wholly owned Subsidiary of Emkay Taps and Cutting Tools Limited.
The National Company Law Tribunal at Mumbai vide its order dated 28th October 2024 (certified copy received on November 12, 2024) sanctioned the Scheme of Arrangement inter-alia involving Emkay Taps and Cutting Tools Limited (‘Demerged Company’) and of Emkay Tools Limited (‘Resulting Company’) and their respective shareholders, under section 230 to 232 and other applicable provisions of the Companies Act, 2013. The Scheme became effective from November 19, 2024 (‘Effective Date’) upon filing of the said order with the Registrar of Companies, Mumbai.
